1. Acceptance of Terms

By accessing or using Valence Hub ("Service"), you agree to be bound by these Terms of Service. If you are accepting these terms on behalf of an enterprise, company, or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Description of Service

Valence Hub is a B2B enterprise management workspace that provides tools for multi-unit project tracking, Kanban tasks, operational expense management, and team collaboration. We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice to you.

3. User Responsibilities & Uploaded Content

You are solely responsible for all data, financial records, media files, receipts, invoices, and other content ("User Content") that you upload or transmit via the Service. By uploading User Content, you represent that you have all necessary rights to do so and that the content does not violate any laws or third-party rights.

While Valence Hub implements strict security measures, you agree that you retain ownership of your User Content and that Valence Hub shall not be liable for the accuracy, completeness, or legality of the information you upload to the platform.

4. Service Availability & Uptime

We strive to maintain a high standard of service availability for our enterprise clients. However, the Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. Periodic downtime for maintenance or critical updates may occur.

5. Account Termination

We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Service if you violate these Terms of Service. In the event of termination, you will be provided an opportunity to export your operational data within a reasonable timeframe, unless prohibited by law.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Valence Hub, its affiliates, agents, directors, or employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data (including uploaded financial receipts), or other intangible losses, arising out of or relating to the use of, or inability to use, this service.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Valence Hub operates, without regard to its conflict of law provisions.
